Terms & Conditions

1. Services

AI Clinic Growth provides digital marketing services for clinics, which may include:

• AI-powered Google and Meta advertising campaign creation, management and optimization;
• AI follow-up systems (texts, emails, automated scheduling or optional third-party receptionist integrations);
• Implementation and configuration of ad tooling and analytics; and
• Monthly performance reporting covering leads, booked appointments, show rates and campaign ROI.

Specific deliverables and scope will be defined in the executed Service Agreement between the parties.

2. Payment & Fees

Fee terms (setup fees, per-appointment fees, billing frequency) will be set forth in the Service Agreement. Unless otherwise stated:

• Client shall pay all fees in accordance with the agreed schedule;
• Late payments may incur interest and/or suspension of services; and
• All fees are non-refundable except as expressly set forth in the Service Agreement.

3. Client Responsibilities

The Client agrees to:

• Provide accurate business information, timely access to ad accounts, CRM or scheduling systems and any materials required to run campaigns;
• Ensure that all clinic marketing and patient communications comply with applicable healthcare, advertising and privacy laws (including HIPAA where applicable);
• Handle clinical advice, patient care and medical decision-making — AI Clinic Growth does not provide medical services or medical advice; and
• Cooperate in tests, approvals and reasonable requests to support campaign delivery and performance.

4. Data & Ownership

Client retains ownership of its ad accounts, customer lists and any patient records. AI Clinic Growth may access and process data strictly to provide the contracted services.

AI Clinic Growth will not sell Client data. Use or retention of patient-level health information is subject to applicable law and the terms of the Service Agreement and any executed Business Associate Agreement (BAA) where required.

5. No Guarantee / Results

While AI Clinic Growth uses best practices and AI optimization tools to improve campaign performance, outcomes (including the number of booked appointments, show rates, or revenue) cannot be guaranteed. Results vary based on market, competition, clinic operations and Client cooperation.

6. Confidentiality & Privacy

Each party agrees to keep confidential all non-public business information disclosed during the engagement. AI Clinic Growth will maintain commercially reasonable administrative, physical and technical safeguards to protect Client data.

If Client provides protected health information (PHI), the parties will execute a separate BAA where required by law.

7. Term & Termination

The term and termination rights are set in the Service Agreement. Unless otherwise specified, either party may terminate with thirty (30) days written notice. Upon termination, Client is responsible for all fees due for services rendered up to the termination date.

8. Limitation of Liability

To the fullest extent permitted by law, AI Clinic Growth's total liability for damages arising out of or related to this Agreement shall not exceed the total fees paid by the Client to AI Clinic Growth in the three (3) months preceding the claim. AI Clinic Growth is not liable for indirect, incidental, consequential, special or punitive damages, including lost profits.

9. Indemnity

Client shall indemnify and hold harmless AI Clinic Growth from claims, damages or liabilities arising from Client's content, failure to comply with law, or misuse of services. AI Clinic Growth will indemnify Client for third-party claims arising solely from AI Clinic Growth’s gross negligence or willful misconduct.

10. Governing Law

These Terms are governed by the laws of the state in which the Client operates, without regard to conflicts of law. Venue for disputes will be in the state or federal courts located in that state.
